一、 本合同定义和解释
ECMall 英文全称为 e-Commerce Mall，中文全称为 ECMall 社区电子商务平台，简称 ECMall。上海商派网络科技有限公司为 ECMall 产品的开发商，依法独立拥有 ECMall 产品著作权(版权登记号：京DGY-2006-0823)。ECMall 官方网站为 ecmall.shopex.cn。ECMall 著作权已在中华人民共和国国家版权局注册，著作权受到法律和国际公约保护。
ECMall社区商务电子系统为商业产品，依据《中华人民共和国合同法》和相关法律法规的规定，合同双方就ECMall社区商务电子平台的商业授权，经协商一致，签订本合同。本授权协议适用于ECMall所以版本，上海商派网络科技有限公司拥有对本授权协议的最终解释权。
二、 授权内容
1． 乙方授权甲方下属网站_ _ 合法使用ECMall社区电子商务平台，并保证其软件中不含有主观的危害系统正常运行的代码。若甲方需变更授权域名，需提前通知乙方。新绑定域名生效日起，旧域名绑定的授权同时失效。
2． 乙方授权甲方拥有对上述网站软件源代码（源代码被提供的前提下）及界面风格的合法修改权。
3． 乙方授权甲方上述网站拥有ECMall社区商务电子系统的永久商业使用权。
4． 甲方拥有其系统内部所有文章、帖子、数据的所有权，并依照中华人民共和国法律法规，对内容进行组织和管理。并独立承担与其内容的相关法律义务。
5． 甲方在使用ECMall网上商店系统期间，可按需求删除ECMall网上商店系统标注在页脚的版权信息和链接。无论任何情况，乙方独立拥有ECMall网上商店系统任何整体或部分的所有权、著作权及相关知识产权。
6． 甲方不得对ECMall社区商务电子系统的使用权进行重新分发、出租、出售、抵押或发放子许可证。
三、 报酬及支付期限

四、 违约条款及免责
1. 违反本合同约定，违约方应当按照《中华人民共和国合同法》和相关法律法规的有关条款的规定承担违约责任；
2. 甲方违反本合同第二条的约定，乙方有权终止本合同，并取消对甲方的软件使用授权；乙方不予退还本合同第三条之款项；
3. 利用本授权软件发生的一切行为均由甲方自行负责，因利用本软件进行任何行为所产生的一切纠纷及后果均与乙方无关；
4. 由于软件产品的特殊性，设计开发过程中无法完全避免一切错误和问题。乙方不对由乙方因非主观因素造成的软件错误而产生的问题承担责任。
五、 解决合同纠纷的方式
在履行本合同的过程中发生争议，双方当事人和解或调解不成，双方同意由上海仲裁委员会仲裁。
六、 其他约定
1. 本合同需由甲乙双方签字（盖章）后生效。
2. 本合同一式贰份，双方各持壹份，具有同等法律效力。
3. 本合同未尽事宜，双方可在本合同达成的原则基础上以补充条款的方式明确。补充条款经合作双方签字（盖章）后与本合同具有同等的法律效力。
